Terms & Conditions

QUOTATIONS, PRICING, AND ORDER ACCEPTANCE

• Quotations and orders may or may not include applicable taxes and shipping charges; any such charges will be itemized where applicable. All pricing is provided in the currency of the country in which the order is placed. By placing an order, the customer acknowledges and agrees to Flags Unlimited’s Terms and Conditions of Sale, unless otherwise agreed to in writing.

CREDIT TERMS

• Customers without terms (Customers without a Standing Offer Agreement) and ALL custom orders require a 50% deposit prior to an order being placed. Balance is due before the order is shipped.
• All orders under $1500 (before tax) must be prepaid prior to order placement and work begins.
• For customers with pre-approved credit terms, invoices are Net 30 days. An additional finance fee of 2.0% per month, compounded monthly and payable without notice or demand, on the purchase price or balance outstanding as well as any overdue interest, will be charged on all overdue balances.

STOCK ORDERS

• All stock orders must be paid in full by VISA, MasterCard, or cheque/check prior to shipping, unless approved credit has been established.
• Products may be returned within seven (7) days of receipt, subject to a 20% restocking fee, unless otherwise agreed to in writing by Flags Unlimited. Returned items must be in new, unused condition and in their original, unopened packaging. Custom-ordered products are not eligible for return or exchange.
• All quotations are based on the information provided at the time of the request. Any changes or omissions may affect pricing. Quotes are valid for thirty (30) days from the date of issue and may be subject to review or adjustment after that period.
• A deposit of fifty percent (50%) of the total order value shall be required upon orderplacement to commence processing, manufacturing, and scheduling of shipment,with the outstanding balance payable in full prior to shipment of the completedorder. Notwithstanding the foregoing, certain customers who have been grantedestablished credit terms by Flags Unlimited Corporation may be subject to alternative payment arrangements, whereby either (i) a partial deposit is required with the remaining balance due within thirty (30) days from the invoice date (“Net30”), or (ii) the entire order amount is payable within thirty (30) days from the invoice date without any deposit obligation. Such terms shall be expressly communicated and agreed upon in writing prior to order acceptance.

ARTWORK REQUIREMENTS

• All artwork must be submitted in accordance with Flags Unlimited’s Art Requirements guidelines. Colours will be matched as closely as possible to the provided file or specified Pantone references; however, slight variations may occurdue to differences in printing processes, materials, and substrates. Flags Unlimited is not responsible for minor colour deviations within industry-accepted tolerances.
• For custom orders, an art layout will be provided for review once the order has been confirmed. Timely review and sign-off are required to proceed with production. Delays in providing layout approval may result in delayed delivery timelines.
• All digital art files created or prepared by Flags Unlimited shall remain the sole and exclusive property of Flags Unlimited. These files are provided to the customer solely for their authorized use in connection with the specific order placed. The customer is granted a limited, non-transferable, non-exclusive license to use the digital art files exclusively for their intended purpose. Any reproduction, distribution, modification, or use of the digital files beyond the scope of the original order without prior written consent from Flags Unlimited is strictly prohibited.

ORDER CONFIRMATION

• Acceptance of Flags Unlimited’s Quotation or Order Confirmation constitutes the customer’s acknowledgment that they have reviewed the document for accuracy and agree to be bound by all terms and conditions stated herein.
• Flags Unlimited accepts customer approval of orders either by written confirmation via email or by signature on the order document. Email approval must include theorder number and the approved amount. Such approval shall be deemed acceptance of the order and agreement to all applicable terms and conditions.
• Production will begin only after receipt of a duly approved Order Confirmation and fulfillment of the required payment terms. Once production has commenced, requests for changes to the order may be limited or unavailable.
• If the Order Confirmation has been signed but production has not yet commenced, any requested modifications or cancellations may be subject to a change fee, graphic design fee, or other applicable charges. Where a refund is issued, it may besubject to a 5% administrative fee to cover work already performed.
• Deposits and Order Confirmation: Where a deposit has been made but an order is not confirmed, Flags Unlimited will retain the deposit for a period of up to 24 months. After this period, any unclaimed deposits will be forfeited and are nonrefundable
• Once production has commenced, no modifications or cancellations to the orderwill be permitted. All such orders must be paid in full. In the event of cancellation after production begins, Flags Unlimited reserves the right to recycle, restock, sell,or otherwise dispose of the products without any refund or reimbursement to thecustomer.

SHIPPING, RETURNS, AND DELIVERY DELAYS

• Customers are responsible for all shipping costs associated with returns or exchanges.
• Flags Unlimited does not accept collect shipments; any such deliveries will be refused.
• Unless otherwise agreed in writing, all orders are shipped FOB (Free on Board) fromFlags Unlimited’s facility. This means that title to the goods and risk of loss or damage transfers to the customer once the products have been handed over to the carrier at Flags Unlimited’s shipping point
• The customer assumes liability for lost or damaged merchandise and the filing of any freight claims with the carrier.
• Shipping estimates are valid for 30 days. Flags Unlimited monitors shipments toensure timely delivery. If a shipment exceeds standard delivery times by more than seven (7) days, Flags Unlimited will initiate a follow-up with the courier and providethe customer with an update.
• However, Flags Unlimited is not liable for delays caused by the carrier, including those resulting in missed deadlines or delivery dates. No refunds, replacements, or reimbursements will be issued for late or lost shipments caused by courier delays or errors.
• It is the customer’s responsibility to conduct a thorough inspection of all items upondelivery to ensure the products meet the expected quality and specifications prior to signing for receipt. Flags Unlimited shall not be liable for any claims related to damage, inaccuracies, or missing items reported after the delivery has been signed off.
• It is the customer’s responsibility to ensure availability to receive the product on thescheduled and agreed-upon delivery date. Flags Unlimited shall not be liable for any undeliverable goods due to the customer’s unavailability. Additional storage fees, redelivery charges, or other related costs may apply in such cases.
• In the event the customer makes alternate arrangements directly with the freight/shipping company and the alternate arrangements result in additional charges to Flags Unlimited, the additional charges incurred will be communicated to the customer and will result in a charge back to the customer.
• If goods are returned to Flags Unlimited due to being undeliverable, the product will be held for a maximum of thirty (30) days. After this period, the product may be recycled, restocked, sold, or otherwise disposed of without any refund or reimbursement to the customer. Additionally, any return freight charges incurred will be charged back to the customer

INSTALLATION DISCLAIMER

• Flags Unlimited does not provide installation services. Any damage, injury, or loss resulting from the installation process, including improper or unsafe installation, shall be the sole responsibility of the customer and/or any third-party installer or subcontractor engaged by the customer. Flags Unlimited assumes no liability for damages arising from installation-related activities

COMPLIANCE WITH LAWS

• Local signage bylaws and regulations may govern the installation of banners and flags. Indoor displays in public areas may require fire retardant treatment inaccordance with applicable safety standards. The customer is solely responsible forobtaining any necessary permits, licenses, or fulfilling any other legal requirementsrelated to the installation and display of the products.
• Flags Unlimited shall not be held liable for any infractions, penalties, damages, orlosses arising from the customer’s failure to comply with applicable municipal, provincial, or federal laws, bylaws, ordinances, or safety regulations. It is the sole responsibility of the customer to ensure that the use, installation, and display of any products purchased from Flags Unlimited are in full compliance with all relevant legal and regulatory requirements

PRODUCT QUALITY GUARANTEE

• Flags Unlimited guarantees that all products will be free from defects in fabric and workmanship upon delivery. For the purposes of this guarantee, "defects in fabricand workmanship" may include, but are not limited to: fabric flaws, ink runs, tears, holes, pulls, incomplete stitching, thread unraveling, and unfinished or misalignededging.
• Customers must inspect products upon receipt and report any defects or concerns to Flags Unlimited within seven (7) days of delivery. To be eligible for review or replacement, the product must be in new, unused condition and show no signs of wear or use. In the case of major defects visible upon delivery, customers areexpected to either report the issue immediately or refuse delivery
• Due to the nature of the manufacturing process, product dimensions may vary by up to ±6% from the quoted size. If an exact size is required, the customer must expressly communicate this requirement in writing at the time of order. FlagsUnlimited will not be held responsible for size variations unless such written specifications have been provided and acknowledged.
• Flags Unlimited does not provide any warranty—express or implied—on itsproducts, including but not limited to flag poles and related hardware. All productsare sold “as is”, without guarantees of durability, performance, or suitability for anyparticular purpose. Customers are responsible for ensuring proper installation, use, and maintenance of all products. We recommend reviewing product care guidelines to maximize longevity but Flags Unlimited cannot be held liable for any defects,damages, or failures that may occur after purchase.

FORCE MAJEURE

• Flags Unlimited shall not be held liable for any failure or delay in performance, delivery, or fulfillment of its obligations where such failure or delay is caused, inwhole or in part, by events or circumstances beyond its reasonable control. This includes, but is not limited to, acts of God, natural disasters, fire, flood, earthquake,strikes or other labor disturbances, war (declared or undeclared), terrorism orthreats thereof, embargoes, pandemics, epidemics, civil unrest, government actions or restrictions, power outages, mechanical failures, supply chain disruptions, or delays by carriers or suppliers. In such cases, Flags Unlimited’s obligations shall be suspended for the duration of the force majeure event, and thetime for performance shall be extended accordingly

PHOTOGRAPHIC USE AUTHORIZATION

• Flags Unlimited reserves the right to photograph any finished product supplied tothe customer and to use such photographs for promotional, advertising, or marketing purposes, including but not limited to use in print materials, digital content, and online platforms. This right is granted unless the customer expressly withholds permission by providing written notice to Flags Unlimited prior to or at the time of order placement. This clause does not apply to dealers, resellers, promotional companies, or other third parties acting in a resale capacity, in which case Flags Unlimited will not use such photographs without the express prior written consent of the customer
